The Website is provided to you in conjunction with professional services rendered to your employer, or an organisation you are connected with ("your employer") by Vialto Partners. As used in this Agreement, "Vialto Partners" (and "we", "us", or "our") refers to the entity identified at vialto.com/about ("Vialto UK"), its affiliates and other entities in the Vialto professional network that provide tax and/or immigration compliance and/or consulting services. Each of Vialto UK, such affiliates and other entities may be referred to in this privacy statement as a "Vialto Entity" refers to the entity identified at vialto.com/about. Vialto UK is authorised and regulated by the Solicitors Regulation Authority ("SRA") - SRA number is available at vialto.com/about and is subject to the SRA Code of Conduct. Details of the entity can be found at this link vialto.com/about. Vialto Partners has a procedure in place which details how it handles complaints which is available on request. The Website is a means by which you, your employer and Vialto Partners can exchange travel, calendar and location information which will be used by Vialto Partners in providing the myTrips application and other professional services to your employer ("Purpose"). If applicable any information posted by you on the Website, may be transferred to other systems relating to the provision of other mobility services and, as used by your employer, which is hosted by a Vialto Entity. The Website may contain online form(s) and workroom(s) specifically designed for your use and for the purpose of sharing information or documents with Vialto Partners in order for Vialto Partners to provide the service to your employer, which may include the giving of generic advice to you on immigration matters ("Facilities"). Your access to and use of the Facilities and Website are subject to the following terms and conditions. Eligibility, Registration and Use of the Website All registrations must contain the required fields indicated on the registration form. You agree that all information provided or confirmed by you in connection with registration is true, accurate, complete and up-to-date and you agree to make any changes necessary to your user profile on the Website to ensure the accuracy of such information. You will be required to enter your username and password every time you wish to access the Facilities. Your username and password are personal to you and non-transferable, and you shall maintain them in strict confidence and will not communicate them to anyone else or allow anyone else to use them. You are responsible for all use of the Facilities and Website made using your username and password, regardless of the identity of the person making such use and Vialto Partners or its contractors will not have any responsibility or liability in connection with any unauthorised use of the usernames or passwords or any unauthorised use of the Facilities or Website. If you become aware of a breach of security with respect to your password or of any other breach of security, you must immediately notify Vialto Partners at the contact information provided at vialto.com/about. Your access to or use of the Website may be immediately suspended with or without notice by Vialto Partners at any time for any reason. Except as otherwise expressly permitted under this Agreement, you may not do any of the following, nor may you authorise any third party to do any of the following with respect to the Website or the Facilities, including without limitation any of its related technology and databases: (1) access or use any part except for the Purpose; (ii) modify or create any derivative works; (iii) decompile, disassemble, reverse engineer (except to the extent permitted by law), or otherwise attempt to derive the related source code; (iv) redistribute, encumber, sell, rent, lease, use for service bureau purposes, sublicense or otherwise transfer any related rights; or (v) remove or alter any related trademark, logo, copyright or other proprietary notices. You may not reproduce or copy any portion of the Website or Facilities other than: (i) to access the Website and Facilities in accordance with this Agreement; or (ii) to reproduce a reasonable number of copies of information obtained from the Website and Facilities for use only for the purposes for which such information was provided by the party concerned and subject to any confidentiality obligations. You will not store, make available or transmit in or through the Facilities any material which: (i) infringes any person's intellectual property rights; (ii) is or is likely to be perceived as defamatory, threatening, misleading, offensive or inappropriate, or materially misrepresents facts; (iii) adversely affects performance or availability of the Facilities or the Website (or any part thereof); (iv) contains any virus, harmful component or corrupted data; (v) contains any advertising, promotion or solicitation; (vi) violates any applicable law or regulation; or (vii) contains sensitive or special categories of personal data (e.g. racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic data or biometric data (other than passport), data concerning health, data concerning a natural person's sex life or sexual orientation, criminal convictions and offences or bank and credit card data]. Vialto Partners reserves the right to, without notice, suspend all Facilities to you under this Agreement, destroy any information or data entered by you on the Facilities, and/or block your access to the Facilities in the event Vialto Partners reasonably believes that you may have violated the provisions of these terms, are otherwise in breach of this Agreement or to the extent that Vialto Partners is required by law or order of any court or regulator to do so. If you post any information or material to the Website, you acknowledge that Vialto Partners may use and disclose to your employer, another Vialto Entity or third party such material as required in relation to the Purpose. Vialto Partners reserves the right to change without notice, at its sole discretion, the performance, functionality and availability of the Facilities and the Website. All right, title and interest in and to the Website and the Facilities, including without limitation all information and related technology, shall remain with Vialto Partners and/or its licensors (except with respect to any content placed on the Facilities by you and certain other users), and, other than set out in this Agreement, you shall have no rights in the Website or the Facilities or any of Vialto Partners' intellectual property. You acknowledge such ownership and intellectual property rights and will not take any action to jeopardise, limit or interfere in any manner with Vialto Partners' or its licensor's ownership of or rights with respect to the same. Your access to the Website and the Facilities are contingent on your employer's engagement contract with Vialto Partners. In the event that this engagement contract ends, your access to the Website and Facilities will be terminated, and any documents or materials on the Website may be deleted. Linking You cannot link to the Website from any website without Vialto Partners' prior written consent. If and where the Website or the Facilities provide links to any third party website, such website may not be under Vialto Partners' control and accordingly Vialto Partners has no responsibility for, and does not make any representations or warranties with respect to, such website or any content, products or services connected with such website and Vialto Partners does not endorse any of the same. Liability Unless expressly stated otherwise, the Facilities through the Website are for general assistance only, to facilitate the exchange of information and communications between you, Vialto Partners and your employer and for the delivery of generic information on immigration matters in relation to the Purpose. Such generic information will be indicative of the requirements in the relevant jurisdiction at that point in time, based on the information posted by you on the Website at that time. No reference will be made to any other information which you have or will supply to Vialto Partners. Information and advice delivered through the Website will be based on the law, regulations and guidance applying at the date the information is provided. Vialto Partners will not monitor or be responsible for the effects of any subsequent changes in law, regulations or guidance. You agree that neither Vialto Partners nor any of its contractors will be liable for any (i) inability to access the Website or Facilities, (ii) loss, corruption or unavailability of information and/or data in the Website, (iii) loss of profit, goodwill, business opportunity, anticipated savings or benefits, or (iv) indirect, consequential, special, incidental or exemplary damages or loss of any kind arising out of or related to this Agreement or your use of the Facilities or Website, even if advised of the possibility of such loss. Subject to the other provisions of this Agreement you agree that Vialto Partners' total liability (including interest) for all claims connected with the Website (including but not limited to negligence) is limited to £3,000,000. Nothing in this Agreement will limit a person's liability for (i) death or personal injury caused by that person's negligence, (ii) that person's fraud or (iii) anything else that cannot by law be limited. Downtime, Data Loss and Security You understand and agree that no representation or warranty is made with respect to the functionality or availability of the Website or the Facilities, and that all or any portion(s) of the Website or Facilities may for a variety of reasons (including but not limited to scheduled or emergency maintenance, security, upgrades, etc.) be unavailable to you for use either temporarily or permanently without notice. Subject to clause 4, you further agree and understand that information and data related to the Website or stored within the Facilities may be irretrievably lost or destroyed at any time, and it will be your responsibility to make all necessary copies and backups of any appropriate information and data posted to or obtained or available from the Facilities or Website. Confidentiality You and Vialto Partners shall use any confidential information in the Website only for the purposes for which it was provided and agree not to disclose it, except where required by law or regulation. However, Vialto Partners may, in relation to the Purpose or for use by your employer of the TravelWatch application, where relevant, provide confidential information to a Vialto Entity or relevant contractors as long as they are bound by confidentiality obligations. General Vialto Partners may amend the Agreement at any time by posting the amended terms on the Website. The new terms will automatically be effective and binding on you once they are posted. If you continue to use the Website after a change is made, your continued use confirms you accept the changes. If a dispute arises, you and Vialto Partners will attempt to resolve it by discussion, negotiation and mediation before commencing legal proceedings. The Agreement and any dispute arising from it, whether contractual or non-contractual, will be governed by English law and be subject to the exclusive jurisdiction of the English courts.
